These Terms and Conditions ("Terms") govern your access to and use of Opar360 ("Company," "we," "us," or "our"), a managed Software-as-a-Service (SaaS) platform that produces and hosts immersive 360° video property tours. By accessing our website or using our services, you agree to be bound by these Terms.
1. Definitions of Users
- Client Companies: Real estate agencies, landlords, brokers, or developers who maintain a paid subscription to utilize our managed video tour services.
- End Visitors: Prospective buyers, renters, or general internet users who view the published 360° video tours via public share links without requiring a registered account.
2. Scope of Services
Opar360 provides a managed service encompassing the physical capture of 360° video footage at designated properties, the digital authoring of interactive tours, and the hosting of these tours on our proprietary platform. Client Companies receive a single, shareable URL to distribute to End Visitors.
3. Client Company Obligations and Warranties
- Property Access: Client Companies must secure all necessary permissions for the Opar360 team to physically access and film the target properties, including the use of drone equipment where applicable.
- Content Rights: Client Companies may upload proprietary documents (such as PDFs, floor plans, and brochures) and branding assets (logos) to the platform. You warrant that you hold the legal right to distribute any uploaded materials and authorize Opar360 to display them within the public tour interface.
- Accuracy: Opar360 does not verify the physical dimensions, legal status, or pricing of the properties depicted. Client Companies are solely responsible for the accuracy of any property information provided to End Visitors.
4. Billing, Subscriptions, and Expiration
- Fees: Subscriptions are offered in Starter, Pro, and Agency tiers, billed in Bangladeshi Taka (BDT) on a monthly or annual basis.
- Payments: Payments are processed securely via our integrated local gateway, aamarPay, or handled manually via offline billing by our administration team.
- Service Suspension: Failure to renew a subscription will result in the immediate blocking of public access to all associated property tours upon the exact expiration date.
- Data Retention: Opar360 provides a 90-day grace period following subscription expiration. During this time, data is retained, and tours can be seamlessly reactivated upon payment. After 90 days, we reserve the right to permanently delete all associated project data.
5. Intellectual Property
- Platform Ownership: Opar360 retains all intellectual property rights to the underlying software, codebase (Next.js, React), viewer interfaces, and the platform's proprietary symbol library.
- Media Ownership: Unless otherwise negotiated in a separate agreement, the raw 360° video footage captured by Opar360 remains the intellectual property of Opar360, licensed exclusively to the Client Company for use strictly within the Opar360 platform for the duration of the active subscription.
6. Limitation of Liability
Opar360 is not liable for indirect, incidental, or consequential damages, including lost real estate sales, lost leads, or business interruptions. The platform relies on third-party infrastructure (such as Cloudflare and Vercel), and we do not guarantee 100% continuous, uninterrupted access to the tours.
7. Governing Law and Dispute Resolution
These Terms are governed by the laws of Bangladesh. Any disputes arising from these Terms or the use of Opar360 shall be subject to the exclusive jurisdiction of the courts located in Dhaka, Bangladesh.
